Terms & Conditions

1. Definitions

1.1

In this agreement, the following words, phrases and expressions have the following meaning, unless otherwise specified:

“We”, “Us” or “Our” refers to MDS Group Ltd.
“The Company” refers to MDS Group Ltd.
“The Customer” refers to the person, group, company or organisation receiving goods from the company.
“The Goods” refers to the products or services relating to the order or sale to the customer.

2. Order of Acceptance

2.1

All orders placed by the customer, whether written or verbal shall constitute an offer to the company under these conditions, subject to the availability of the goods and to     acceptance of the order by the company’s authorised representative. Any quotation given by the company does not constitute an offer capable of acceptance.

2.2

Prices quoted by the company exclude VAT which is payable at the current standard rate.
2.3
Delivery costs are charged at our courier’s rates unless otherwise agreed; same day and international deliveries may incur additional charges which will be agreed in advance by the company and the customer.

3. Payment & Title

3.1

The goods remain the property of the company until all funds relating to the goods have been cleared. Payment can be made by the following methods:
– Company cheque;
– Cash;
– Banker’s draft;
– Credit card; or
– BACS payment directly into a bank account nominated by the company.

3.2

Where the company has agreed to supply the goods on credit terms the company shall be entitled to invoice the customer for the goods on or at any time after the goods have been dispatched. The customer agrees to pay the price of the goods in full within thirty (30) days of the invoice date or by any other agreed time period from the date of the company’s invoice (such other time period being agreed and notified to the customer by the company in writing) not withstanding that the title of the goods has not passed the customer.

3.3

The customer agrees that the company or its representatives may enter the customer’s premises at any reasonable time to recover good for which payment is outstanding beyond any previously written agreed credit term.

4. Defective Goods

4.1

All goods supplied by the company will have a one-year warranty unless otherwise specified. Defective goods will be either repaired or replaced in accordance with the manufacturer’s warranty. The company is not responsible for good returned to us that are lost, or further damaged in transit.

4.2

Defective goods returned under clause 4.1 will be returned at our expense; the goods must be in the original packaging and in a clean re-saleable condition. Goods not returned as stated above will, at our discretion, either be refused or will be subject to a restocking fee to cover our expense.

4.3

Goods that are incorrectly ordered by the customer must be returned at the customer’s expense, in the original packaging and in a clean re-saleable condition. These goods may be subject to a restocking fee.

5. Delivery

5.1

The company will make its best endeavours to deliver all foods as instructed by the customer. The company will not be responsible for late deliveries outside of its control, howsoever caused.

5.2

The customer shall inspect all goods immediately upon delivery. The company reserves the right to reject any claims for incorrect delivery if notification is not received within 24 hours of the actual delivery date.

6. Force Majeure

6.1

The company reserves the right to suspend, vary or cancel the operation of contract of sale if events occur which are in the nature of force majeure including (without prejudice to the generality of the foregoing) fire, flood, storms, plant breakdown, strikes, lockouts, riots, hostilities, non-availability of material or suppliers or any other event outside the control of the company; and the company shall not be held liable for any breach of contract resulting from such an event.

7. Consequential Loss

7.1

The company will not under any circumstances accept responsibility for any consequential losses (including loss of profit, loss of business or pure economic loss) suffered by the customer.

8. Law

8.1

These terms and conditions of sale are in accordance with English Law.
